The Stars Group completed its $4.7 billion acquisition of Sky Betting & Gaming in July 2018, making it one of the most significant iGaming transactions of the decade. Sky Betting & Gaming was owned by a consortium of CVC Capital Partners and Sky plc and had grown into the UK’s leading digital sports betting brand — with a mobile-first product, strong brand recognition from the Sky Sports broadcast relationship, and one of the highest customer satisfaction scores in the UK market. Sky Betting & Gaming’s valuation was supported by several exceptional metrics. Its mobile app — Sky Bet — had become the most downloaded sports betting app in the UK. Its in-play betting product was regarded as industry-leading in terms of market depth and user experience. The Sky Sports brand association gave Sky Bet an awareness and credibility among casual bettors that no purely digital competitor could replicate. And its customer acquisition cost, driven by organic search and the Sky Sports relationship, was structurally lower than rivals dependent on paid acquisition. These factors combined to justify a multiple well above industry average for a UK-licensed sportsbook at that time.

The Flutter Merger Path

The Sky Betting & Gaming acquisition transformed TSG from a poker-dominant business into a genuine multi-vertical online gambling operator — making it far more attractive as a merger partner for Flutter Entertainment. When Flutter and TSG announced their combination in 2019, completed in 2020, the combined group’s UK portfolio included PokerStars Casino, Sky Bet, Betfair, and Paddy Power — four of the UK’s most recognisable online gambling brands under one ownership structure.
